Terms of Service

The rules for using the website, the Masterclass, and the community.

Last updated: September 13, 2026

Agreement

These Terms of Service (“Terms”) govern your access to and use of the Shopify Scale website, the paid Masterclass program, and the associated community operated by VersaLyze LLC (“we”, “us”). By using the site, joining the community, or purchasing access, you agree to these Terms. If you do not agree, do not use the service.

Eligibility and age

You must be at least 13 years old to use the program. If you are old enough to use the program but under the legal age to form a binding contract where you live, a parent or legal guardian must review and consent to your purchase and to these Terms where required by applicable law. You are responsible for ensuring your use complies with the laws that apply to you.

What the program is

Shopify Scale is an educational program and private community covering Shopify store building, TikTok Ads, Meta Ads, creative strategy and testing. It provides curriculum, resources, recordings and mentorship. It is information and guidance, not financial, investment, tax or legal advice, and not a guarantee of any particular outcome.

Community and account access

Paid access is delivered through Discord and managed through Whop. You are responsible for your Discord and Whop accounts and for keeping your access credentials secure. Access is personal to you.

Acceptable use and community conduct

You agree to behave respectfully and lawfully in the community. You will not harass, threaten, spam, or post illegal, hateful or infringing content, and you will follow the community rules and the terms of the platforms we use. We may remove content or restrict access for conduct that breaks these rules.

Confidentiality of paid materials

Curriculum, recordings, templates and other member materials are provided for your personal use as a member. You may not copy, redistribute, resell, share, publish, stream, leak, or otherwise make these materials available to non-members. Sharing login or member access with others is prohibited.

Intellectual property

Unless stated otherwise, the site and member materials are owned by VersaLyze LLC or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to access and use them as a member. All other rights are reserved.

Third-party platforms

The program relies on third-party platforms including Discord (community), Whop (checkout and access), and the advertising and store platforms you choose to use (such as Shopify, TikTok and Meta). Your use of those platforms is governed by their own terms and policies, and their availability is outside our control. Shopify Scale is independent and is not affiliated with, sponsored by, or endorsed by Shopify, TikTok, or Meta.

Pricing and billing

The Masterclass is offered as a $800 one-time payment or a $299 per month plan, billed through Whop. Recurring plans continue to bill according to the settings shown at checkout in Whop until they end in accordance with those settings. Applicable taxes may be added. We may change pricing prospectively; changes do not affect a purchase you have already completed.

No earnings or performance guarantee

We do not guarantee sales, revenue, profit or any other result. E-commerce and paid advertising involve real financial risk, including the risk of losing money on ad spend. Any examples are for illustration and are not a promise of results. You are solely responsible for your own business decisions, ad spend, and compliance with the platforms and laws that apply to you.

Refunds

Purchases are generally final. Limited exceptions apply, as described in our Refund Policy, which is incorporated into these Terms.

Cancellation

Where a monthly plan is offered, you may stop future billing in accordance with the settings and controls provided by Whop. Ending a plan stops future charges according to those settings; it does not create a right to a refund of amounts already paid except as described in the Refund Policy or required by law.

Termination

We may suspend or terminate your access for breach of these Terms, including abuse, fraud, chargeback abuse, or leaking or reselling member materials. Where access is terminated for cause, fees already paid are not refundable except as required by law.

Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that it will achieve any particular result.

Limitation of liability

To the fullest extent permitted by law, VersaLyze LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, arising from your use of the service. Nothing in these Terms limits liability that cannot be limited under applicable law.

Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws rules, except where mandatory consumer-protection laws of your place of residence apply. Nothing here removes protections that applicable law gives you and that cannot be waived.

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the date at the top of this page. Continued use after changes take effect means you accept the updated Terms.
